Board-level AI governance rests on three interdependent pillars. The first is accountability assignment: which AI-assisted or automated decisions are permissible, which require human validation, which executive is accountable for each system category, and what the escalation path is in case of incident. The second is human oversight mechanisms: how leadership monitors deployed AI systems in practice, what indicators trigger review, and how audit trails are maintained in compliance with EU AI Act requirements for high-risk systems. The third is dependency policy: which AI vendors are approved, under which data-sharing conditions, and what exit mechanisms exist for each critical system.
The EU AI Act, applicable from August 2026 for high-risk systems, makes several of these governance elements legally mandatory for organisations deploying AI in HR, credit scoring, healthcare and critical infrastructure contexts. Non-compliant organisations face fines of up to €30 million or 6% of global annual turnover, and risk losing access to European public procurement.
